1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Zerapy ("Zerapy," "we," "us," or "our"), concerning your access to and use of the https://zerapy.ai website, the provider platform at provider.zerapy.ai, and all related services, tools, and applications (collectively, the "Services"). We are registered in the Commonwealth of Virginia, United States, with our principal office at 11160-C1 South Lakes Dr, Reston, VA 20191.

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Services immediately.

We reserve the right to modify these Terms at any time by updating this page and revising the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

2. Description of Services

Zerapy provides an AI-powered platform for physical therapy providers. Our Services include:

  • Zera Scribe: AI-assisted clinical documentation, including SOAP note generation, ICD-10 and CPT code suggestions, and audit trail management
  • Zera HEP: AI-assisted home exercise program creation and patient adherence tracking
  • Zera RTM: Remote therapeutic monitoring documentation, compliance tracking, and billing support
  • Zera Engage: Automated patient communication, appointment management, and engagement tools

Zerapy is a technology platform. We do not provide medical advice, diagnosis, or treatment. Our Services are tools designed to assist licensed healthcare providers in their clinical and administrative workflows.

3. Eligibility and Account Registration

The Services are intended for use by licensed healthcare providers and authorized members of their staff. By registering for an account, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into these Terms
  • All registration information you provide is accurate and current
  • If you are using the Services on behalf of a healthcare organization, you have the authority to bind that organization to these Terms

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. AI-Generated Content and Provider Responsibility

Our Services use artificial intelligence to generate clinical documentation, billing code suggestions, exercise programs, patient communications, and monitoring records. You acknowledge and agree that:

  • AI output requires human review. All AI-generated content is provided as a draft for your review. You are solely responsible for reviewing, editing, and approving all AI-generated documentation before it becomes part of any clinical record, billing submission, or patient communication.
  • AI is not a substitute for clinical judgment. AI-generated suggestions, including ICD-10 and CPT code recommendations, are informational tools. Final clinical and billing decisions are your responsibility as a licensed healthcare provider.
  • Accuracy is not guaranteed. While we strive for high accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You must verify all AI output against your clinical observations and professional standards.
  • Regulatory compliance is your responsibility. You are responsible for ensuring that all documentation and billing submissions meet applicable federal, state, and payer requirements.

5. Fees and Payment

Pay-As-You-Go Pricing

Zerapy operates on a pay-as-you-go model using AI Units. Each clinical action (generating a SOAP note, creating an exercise program, sending a patient message) consumes AI Units. Pricing per AI Unit is published on our Pricing page and may change with notice.

  • New accounts receive a one-time allocation of free AI Units as described on the Pricing page
  • Unused AI Units roll over for up to 3 months
  • You authorize us to charge your designated payment method for AI Units consumed

RTM Add-On

Zera RTM is available as a per-patient add-on billed per billing period. RTM pricing is separate from documentation AI Units and is published on our Pricing page.

Enterprise Plans

Custom pricing, integrations, and service level agreements are available for enterprise customers. Contact us for details.

General Payment Terms

All payments are processed in U.S. dollars through Stripe, Inc. You agree to provide current, complete, and accurate payment information. We reserve the right to correct pricing errors and to refuse any order or transaction.

6. Cancellation

You may stop using the Services at any time. Because Zerapy uses pay-as-you-go pricing, there is no subscription to cancel for standard accounts. Unused AI Unit balances expire 3 months after purchase. For Enterprise agreements with custom terms, cancellation is governed by your Enterprise agreement.

7. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, and other content, are owned by or licensed to Zerapy and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

You retain ownership of all clinical content and data you create or input through the Services. By using the Services, you grant us a limited license to process your content as necessary to provide, maintain, and improve the Services.

8. HIPAA and Data Protection

When Zerapy processes protected health information on behalf of a healthcare provider, we operate as a Business Associate under HIPAA. Our data protection practices are described in our Privacy Notice and HIPAA Compliance page.

If your use of the Services involves the processing of protected health information, a Business Associate Agreement must be in place. See our BAA page for details.

9. Prohibited Uses

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to reverse engineer, decompile, or disassemble any aspect of the Services
  • Use automated means (bots, scripts, scrapers) to access the Services without our written permission
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to the Services or related systems
  • Use the Services to generate fraudulent clinical documentation or billing submissions
  • Share your account credentials with unauthorized individuals
  • Resell or redistribute the Services without our written permission

10. Third-Party Integrations

The Services may integrate with third-party electronic health record (EHR) systems and other healthcare technology platforms. We are not responsible for the availability, accuracy, or security of third-party services. Your use of third-party integrations is subject to the terms and policies of those third parties.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ZERAPY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZERAPY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZERAPY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL CLINICAL DECISIONS AND THAT ZERAPY SHALL NOT BE LIABLE FOR ANY CLINICAL OUTCOMES RESULTING FROM YOUR USE OF OR RELIANCE ON AI-GENERATED CONTENT.

13. Indemnification

You agree to defend, indemnify, and hold harmless Zerapy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (1) your use of the Services; (2) your breach of these Terms; (3) your violation of any third-party rights; (4) any clinical decisions you make based on AI-generated content; or (5) any billing submissions you make using the Services.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be subject to good-faith informal negotiation for at least thirty (30) days. If informal negotiation does not resolve the dispute, it shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in Fairfax, Virginia. If a dispute proceeds in court, you consent to the exclusive jurisdiction of the state and federal courts in Fairfax, Virginia.

Any arbitration shall be conducted on an individual basis. Class actions and class arbitrations are not permitted.

15. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive.

16. Miscellaneous

These Terms, together with our Privacy Notice and any applicable Business Associate Agreement, constitute the entire agreement between you and Zerapy regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision does not constitute a waiver. We may assign our rights and obligations under these Terms at any time.
